INCORPORATING A SPANISH COMPANY
If you are starting a new business in Spain, we can assist you with the incorporation of a Spanish limited company. We will hold an initial discussion with you where we will highlight the implications and gather information on the proposed venture as well as advise you on the next steps to be taken.
If you decide to proceed with our instruction, we will apply for registration at Companies House who will, in turn, issue a certificate confirming that the proposed company name is available.
Depending on the specifics of your case and your availability, we will arrange the formalisation of a Power of Attorney to enable us to undertake the various necessary steps on your behalf. This Power of Attorney will need to be signed before a Public Notary local to you and will need to be granted by at least one of the shareholders or directors of the proposed company. If the Power of Attorney is prepared outside Spain, then this will need to be stamped with the Apostille of the Hague before it is sent to us.
It is important to note that in addition to legal fees and disbursements, an initial 3,000 Euros will need to be deposited in a bank account belonging to the company. This will constitute the company's opening share capital and it is a formal requisite under Spanish Law. Using the Power of Attorney we will open a bank account in the proposed company name, on your behalf. The share capital funds can be withdrawn once the company is finally registered.
The bank will in turn issue a certificate confirming the share capital belonging to the company. With this certificate and the certificate from Companies House confirming the proposed company name we can proceed to incorporate the company before a local Public Notary.
After we have formalised the Deed of Incorporation we will apply to obtain a CIF number (a reference number for the company which will be necessary for tax purposes), we will pay the relevant stamp duty and complete the registration of the company before Companies House.
You will require a Spanish address for your company. If you choose to use our accounting services then our address may be used as your registered address.
